REIT Funding was founded in 1998 to assist companies forming private REITs in the process of obtaining and maintaining sufficient shareholders to meet the 100 shareholder requirement of the Internal Revenue Code for REIT status. We have performed these services for over 400 REITs with the assistance of our broker dealer, H & L Equities, LLC. We arrange for our broker dealer to sell, in a private placement, a sufficient number of shares of preferred stock for the REITs to be assured of meeting the one hundred shareholder test. We have experience with many different types of REITs including UBIT blockers, State Tax planning REITs, Bank REITs and foreign currency REITs. We work with our clients and their attorneys to help assure that all investors qualify as shareholders under the ownership tests of the Internal Revenue Code. We sell only to accredited investors to eliminate SEC filings and have the capability of providing Qualified Purchasers for REITs with 40 Act concerns.
